1. Definitions

• "Sage.coach," "Sage," "we," "our," "us": Sage.coach platform and its operators.
• "User," "you": Individuals using the platform (admins, coaches, clients).
• "Organization": The coaching firm or entity associated with your account.
• "Client": A coaching participant whose data is managed within Sage.
• "Content": Any information uploaded, submitted, or created in Sage.

2. Eligibility

You must be:

• At least 18 years old
• Authorized to act on behalf of your organization (if applicable)
• Not prohibited from using the service under applicable laws

3. Account Registration

You agree to:

• Provide accurate information
• Maintain confidentiality of your password
• Be responsible for all activity under your account
• Notify us of any unauthorized use

We are not liable for damages resulting from your failure to secure your account.

4. Use of the Service

You may use Sage.coach only for lawful purposes and within permitted usage.

You agree not to:

• Upload malicious code
• Reverse engineer or attempt to access source code
• Use the service to harass or harm others
• Misuse data or violate privacy laws
• Exceed usage limits without paying applicable fees
• Attempt to bypass billing or security protections

Sage reserves the right to suspend or terminate accounts for violations.

5. User Content

You retain all ownership rights to content you upload.

By uploading content, you grant Sage a limited license to:

• Store, process, and display the content within the platform
• Provide functionality required by the service

We never claim ownership over your client data.

6. Data & Privacy

Use of the Service is governed by our Privacy Policy. By using Sage.coach, you consent to our collection and use of data as described there.

7. Subscription & Billing

7.1 Plans & Pricing

• Plans are billed monthly or annually.
• Pricing and plan limits are described on the Sage.coach pricing page.
• Client limits, coach limits, and usage-based fees apply.

7.2 Automatic Renewal

Subscriptions automatically renew unless canceled prior to renewal date.

7.3 Trials

Trials convert to paid accounts at the end of the trial period.

7.4 Refunds

Sage does not offer refunds except where required by law.

7.5 Overages & Usage Pricing

Usage above plan limits (e.g., additional active clients or extra coaches) will incur additional fees.

8. Service Availability

We strive for high availability but do not guarantee:

• Uninterrupted service
• Error-free operation
• Preservation of all data

Scheduled maintenance and downtime may occur.

9. Termination

We may suspend or terminate accounts for:

• Non-payment
• Abuse or policy violations
• Security risks
• Legal compliance reasons

You may terminate your account at any time. Data export is available upon request.

10. Intellectual Property

Sage.coach owns all:

• Software
• Branding
• Designs
• Documentation
• Proprietary algorithms

Users may not reproduce or distribute platform materials except as permitted.

11. Third-Party Integrations

You are responsible for:

• Understanding connected third-party services
• Managing permissions
• Ensuring compliance with their terms

We are not liable for issues arising from third-party integrations.

12. Limitation of Liability

To the fullest extent permitted by law:

• Sage.coach is not liable for indirect, incidental, punitive, or consequential damages.
• Our total liability will not exceed the amount you paid in the previous 12 months.

13. Disclaimer of Warranties

Sage is provided "as is" and "as available" without warranties of any kind.

14. Indemnification

You agree to indemnify and hold Sage harmless from claims arising from:

• Your use of the Service
• Violations of these Terms
• Misuse of data or content
• Third-party disputes

15. Governing Law

These Terms are governed by the laws of the State of Massachusetts, United States.

16. Changes to Terms

We may modify these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.
